Welcome to Acted. By accessing or using the Acted mobile application ("App") and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Effective Date" above. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

2. Description of Service

Acted is a mobile application that helps users organize video content from platforms including YouTube, TikTok, and Instagram. Users can share video URLs with the App, which processes content using AI-powered transcription, summarization, and categorization features.

3. Eligibility

You must be at least 13 years old to use our Services. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Services.

4. Account Registration

To access certain features of the App, you must create an account using Google Sign-In. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload or share content that is illegal, harmful, or offensive
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means to access the Services without our permission
• Reverse engineer, decompile, or disassemble any part of the Services

6. User Content

By sharing video URLs with the App, you grant us a non-exclusive, worldwide, royalty-free license to process, store, and display the associated content solely for the purpose of providing our Services to you.

You represent and warrant that you have the right to share any content you submit and that such content does not violate the rights of any third party.

7. Third-Party Content

The App processes content from third-party platforms (YouTube, TikTok, Instagram). We do not control and are not responsible for the content, privacy policies, or practices of these third-party platforms. Your use of content from these platforms is subject to their respective terms of service.

8. Intellectual Property

The App and its original content, features, and functionality are owned by Acted and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy or completeness of any AI-generated summaries or categorizations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or other harmful code that may be transmitted through the Services

11. Indemnification

You agree to indemnify, defend, and hold harmless Acted and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. You may request deletion of your account and associated data by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Switzerland.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
